Agreement to Terms
By engaging Treeangle LLC ("we," "us," or "our") for any services, you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, do not use our services.

Services We Provide
Treeangle LLC offers the following services:
- Website design and development
- iOS mobile app development
- UI/UX design and product design
- Product strategy and consulting
- Ongoing monthly partnership retainers

Monthly Partnership Services
- Billing: Invoiced on the 1st of each month, due within 7 days.
- Hours: 20 or 40 hours per month depending on tier. Unused hours do not roll over to the next month.
- Scope: Requests outside your tier's defined scope may be declined or quoted separately at our standard hourly rate.
- Request Queue: Work is processed sequentially via Slack or our project management system. We do not guarantee simultaneous task handling.
- Cancellation: Requires 30 days written notice. No partial-month refunds will be issued.
- Pause: You may pause your partnership once per year for up to 2 consecutive months. Billing resumes automatically after the pause period.

Project-Based Services
- Proposal: All project work begins with a written proposal outlining scope, deliverables, timeline, and fixed cost.
- Payment: 50% deposit required to begin. Remaining 50% due upon project completion before final files are delivered.
- Revisions: Two (2) rounds of revisions are included. Additional revision rounds are billed at $150/hour.
- Timelines: Estimated timelines are provided in good faith. They are not guaranteed delivery dates and may shift due to client feedback delays or scope changes.
- Cancellation: The deposit is non-refundable. If cancelled mid-project, all work completed to date will be delivered and no further charges will be made.

Client Responsibilities
To ensure a smooth and timely engagement, clients agree to:
- Provide all required content, assets, and materials in a timely manner.
- Respond to feedback and approval requests within 5 business days. Delays may extend project timelines.
- Designate a single point of contact with authority to approve decisions.
- Ensure they have full rights to any materials, images, or content provided to Treeangle for use in deliverables.

Intellectual Property
- Ownership During Engagement: Treeangle retains all intellectual property rights to work product until final payment is received in full.
- Transfer Upon Payment: Upon receipt of final payment, client receives full ownership of the final deliverables, plus a non-exclusive, worldwide license to any underlying tools or frameworks we created.
- Portfolio Rights: Treeangle retains the right to display completed work in our portfolio and marketing materials, unless client requests otherwise in writing prior to project completion.
- Third-Party Licenses: Client is responsible for obtaining and paying for any third-party software licenses, fonts, plugins, or services required for their project.

Payment Terms
- Accepted Methods: Credit card, ACH bank transfer, or wire transfer.
- Due Dates: Invoices are due within 7 days of issue.
- Late Payments: A 1.5% monthly interest charge applies to balances unpaid after 7 days.
- Work Pause: All active work will be paused if payment is 14 or more days overdue.
- Non-Refundable: Deposits and monthly subscription fees are non-refundable under all circumstances.

Confidentiality
All client information, business details, and project materials shared with Treeangle will be treated as confidential and will not be disclosed to third parties without prior written consent, except as required by law or to deliver our services.
A formal Non-Disclosure Agreement (NDA) is available upon request.

Warranties & Disclaimers
We guarantee:
- Professional care and skill in delivering all services.
- Bug fixes for defects in our own work within 30 days of project launch at no additional charge.
We do not guarantee:
- Any specific business outcomes, traffic, revenue, or results from our work.
- Compatibility with every browser, device, or platform version.
- Uptime or performance of third-party hosting providers, APIs, or platforms.

Limitation of Liability
Treeangle's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Indemnification
Client agrees to indemnify and hold harmless Treeangle LLC, its members, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:
- Client's use of our deliverables.
- Materials provided by client that infringe third-party intellectual property rights.
- Client's violation of these Terms of Service.

Termination
By Client: Monthly partnerships require 30 days written notice. For project-based work, the deposit is forfeited upon cancellation.
By Treeangle: We reserve the right to terminate services immediately for non-payment, material violation of these Terms, abusive or threatening behavior toward our team, or requests to create unlawful content.

Changes to Services or Terms
We may update these Terms or modify our service offerings from time to time. Material changes will be communicated with at least 30 days' advance notice via email or website notice. Continued use of our services after the notice period constitutes acceptance of the updated Terms.

Dispute Resolution
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation for a minimum of 30 days.
If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). Each party waives the right to participate in a class-action lawsuit or class-wide arbitration.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

Miscellaneous
- Entire Agreement: These Terms, together with any signed proposals or statements of work, constitute the entire agreement between the parties.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- No Waiver: Failure to enforce any provision does not constitute a waiver of that right.
- No Assignment: Client may not assign their rights or obligations under these Terms without our prior written consent.
